1. INTRODUCTION

These Terms and Conditions ("Terms") govern the use of services provided by Jones & Wing Holdings Ltd ("Company", "we", "us", "our"). By engaging our services or accessing our website, you ("Client", "you") agree to be bound by these Terms.

3. SERVICES

3.1 The Company provides business development, franchise structuring, operational systems, marketing strategy, and related consultancy services.

3.2 All services are delivered based on agreed proposals, contracts, or statements of work.

3.3 We reserve the right to modify, suspend, or discontinue services where necessary for operational, legal, or strategic reasons.

4. ENGAGEMENT & CONTRACT FORMATION

4.1 A binding agreement is formed when:

• A proposal is accepted in writing; or

• Payment is made; or

• Work commences.

4.2 Any additional work outside the agreed scope will be subject to separate charges.

5. FEES & PAYMENT TERMS

5.1 Fees will be outlined in the proposal or agreement.

5.2 Payment terms:

• Deposits may be required upfront

• Invoices payable within 14 days unless otherwise stated

5.3 Late payments:

• Interest may be charged at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998

• Work may be paused until payment is received

5.4 All fees are exclusive of VAT unless stated otherwise.

6. CLIENT RESPONSIBILITIES

The Client agrees to:

• Provide accurate and complete information

• Respond in a timely manner

• Supply necessary approvals, access, and materials

Failure to do so may result in delays or additional costs.

7. INTELLECTUAL PROPERTY

7.1 All intellectual property created by the Company remains the property of Jones & Wing Holdings Ltd unless otherwise agreed in writing.

7.2 Upon full payment, the Client may be granted a non-exclusive, non-transferable licence to use deliverables for agreed purposes.

7.3 The Client may not copy, resell, or distribute proprietary systems, frameworks, or materials without written consent.

8. CONFIDENTIALITY

8.1 Both parties agree to keep confidential any sensitive business information.

8.2 This obligation continues after termination of services.

9. DATA PROTECTION

9.1 The Company complies with the UK General Data Protection Regulation (UK GDPR).

9.2 Personal data will be processed in accordance with our Privacy Policy.

10. LIABILITY

10.1 We will perform services with reasonable care and skill.

10.2 The Company shall not be liable for:

• Indirect or consequential loss

• Loss of profits, revenue, or business opportunity

10.3 Total liability is limited to the fees paid for the services in question.

11. NO GUARANTEE OF RESULTS

While we aim to deliver high-quality outcomes, we do not guarantee specific commercial or financial results.

12. TERMINATION

12.1 Either party may terminate with written notice.

12.2 Immediate termination may occur if:

• There is a material breach

• Payments are overdue

12.3 Upon termination:

• All outstanding fees become payable

• Use of Company materials must cease

13. FORCE MAJEURE

We are not liable for failure to perform due to events beyond our control, including but not limited to natural disasters, illness, or government restrictions.

14. NON-SOLICITATION

The Client agrees not to directly employ or engage Company staff or contractors during the engagement and for 6 months after termination.

15. FRANCHISE & SYSTEMS PROTECTION (IF APPLICABLE)

15.1 Any franchise models, systems, or operational frameworks remain the exclusive intellectual property of the Company.

15.2 Unauthorised replication, reverse engineering, or independent use is strictly prohibited.

16. WEBSITE USE

16.1 Content is provided for general information only.

16.2 Unauthorised use of website content is prohibited.

17. THIRD PARTIES

We are not responsible for third-party services, platforms, or providers used in conjunction with our services.

18. GOVERNING LAW

These Terms are governed by the laws of England and Wales.

19. CHANGES TO TERMS

We reserve the right to update these Terms at any time. Continued use of services constitutes acceptance of any changes.
